Terms of Service

This Affiliate Terms of Service Policy ("Policy") is an Addendum and forms part of the Agreement between you, the applicant and registered user ("Affiliate"), and Bifrost Distribution (PTY) Ltd T/A Rebel Tech ("Rebel Tech", "we", "us", or "our") concerning your registration and use of our Affiliate Program ("Program") and such shall be governed by and construed in accordance with the laws of South Africa.

You agree that by registering as an Affiliate for our Program, you have read, understood, and agreed to be legally bound by all of these Terms. Your participation in this Program is conditioned on your acceptance of these Terms and all terms, conditions, and notices contained herein. Please read the Terms carefully. If you do not want to agree to these Terms, you must not participate in the Program.

Notice

We reserve the right, in our sole discretion, to make changes or modifications (“amendments”) to this Affiliate Terms of Service at any time and for any reason. Such amendments shall supersede and replace any previous version(s) of the Terms. We will alert you about any changes by updating the “Last Updated” date of the Affiliate Terms of Service, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review the Affiliate Terms of Service to stay informed of updates and/or amendments. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes and/or amendments in and to the Affiliate Terms of Service by your continued use of the Site and continued participation in the Program after the date such revised and/or amended Affiliate Terms of Service is posted.

If you are not satisfied with the amendments to the Affiliate Terms of Service Terms, you should refrain from using the Site and from participating in the Program.

Approval or Rejection of the Application

To participate in the Program, you must submit an application through Rebel Tech's Signup page, available at https://www.rebeltech.co.za/affiliate.

We will review your application, and we may contact you for additional information to determine if you qualify for the Program. We reserve the right, in our sole discretion, to accept or reject any application for membership in the Program for any reason.

When applying for the Program, you must meet with the following criteria:

1. Be at least eighteen (18) years of age and of full legal capacity;
2. must reside in the Republic of South Africa;
3. must have a registered bank account in the Republic of South Africa;
4. must have an active Twitch account with no less than a "Twitch Affiliate" status or an active YouTube account with no less than a "YouTube Partner Program" status;
5. must have an active Twitter account with no less than 1000 followers and/or an active Instagram account with no less than 2000 followers; and
6. All social media and broadcaster accounts must be no less than sixty (60) calendar days old.

As an approved Affiliate of the Program, you will have access to Affiliate Account Manager. Here you will be able to review our current campaigns, affiliate banners, your unique referral URL, your balance and transaction history.

Commissions

You will receive a commission for Certified Referrals to Rebel Tech. Certified Referrals are:

1. Customers who are referred by you to Rebel Tech's website;
2. use your unique referral URL;
3. complete a purchase (order and payment) within fourteen (14) calendar days from visiting Rebel Tech’s website; and
4. The products so purchased are not returned and/or refunded.

Commission earned from Certified Referrals will be added to your balance after the thirty (30) calendar day "On Hold" period has lapsed. The “On Hold” period is the time between when the Certified Referral’s order is completed and the commission being made available to you, the Affiliate.

In the event that a Certified Referral requests a refund for an order for which you have earned commission, any commission earned on the refund amount will be deducted from your balance.

Affiliates who share the same personal/company details, including but not limited to:

1. Full name;
2. email address;
3. billing/delivery address;
4. commission payment details; or
5. IP address

as their referred customer will be deemed to have made a “Self-Referral". Any referral commission and earnings associated with this type of “Self-Referral” will not be paid. Rebel Tech, in its sole discretion, will determine the classification of any referral as a “Self-Referral”.

Affiliates who make use of another Affiliate's URL to make a purchase will be deemed to have made a "Pyramid-Referral". Any referral commission and earnings associated with this type of “Pyramid-Referral” will not be paid. Rebel Tech, in its sole discretion, will determine the classification of any referral as a “Pyramid-Referral".

Commission balances do not accrue interest.

Withdrawal

You may request a withdrawal of funds from your Program balance when your balance reaches a minimum of ZAR 200.00.

There is a minimum payout of ZAR 100.00.

Payment for withdrawals will be done in fourteen (14) business days from date of request.

You can request a withdrawal every twenty-one (21) business days.

There are no withdrawal fees.

All payments for withdrawal are done in South African Rands.

Payments will be made via electronic funds transfer (EFT).

You are solely responsible for the payment of all taxes applicable to the commissions earned.

Marketing

You are permitted to use the Rebel Tech brand and marketing resources available in the Banner section of your Affiliate account. You may create and use your own graphics as long as they are approved in writing by Rebel Tech prior to using the graphics. Such permissions do not grant you any trademark, copyright, intellectual property rights or any other rights to these materials.

In addition, such approved graphics, designed by you, which incorporate and/or uses any of Rebel Tech’s logos, designs, graphics, etc., will not in any way of form give or grant you any right of ownership, and/or any other right, to or in the Rebel Tech’s trademarks, copyright and/or intellectual property rights.

"Intellectual property rights" means all and any of the rights in and to intellectual property of any nature whatsoever owned and/or controlled directly or under licence by Rebel Tech, now or in the future, including without limitation, Rebel Tech's rights, title and interest in and to all technology, source code/s, functionality, trade secrets, logos, systems, methods, trademarks, trade names, styles, insignia, website and other designs, patents and copyright, and all similar proprietary rights which may subsist in any part of the world, whether registered or not.

“Copyright” means all content, trademarks, software, data, material, including logos, databases, text, graphics, icons, hyperlinks, confidential information, designs, agreements, audio, video, text, photographs, graphics, and multimedia works, published on or via the Site ("proprietary material"), are the property of, or are licensed to, Rebel Tech.

You may use graphic and text links in your social media and broadcasting channels. You may also advertise the Rebel Tech website on classified forums, discussion forums, Q&A forums, opt-in subscriber-based newsletter, your blog and/or vlog.

You shall bear your own costs and expenses related to marketing and promoting Rebel Tech and/or the Program. Rebel Tech is not obligated to reimburse or credit you for any marketing expenses. If Rebel Tech does reimburse you for any marketing expenses, such reimbursement shall not create a duty or obligation to reimburse any future marketing expenses.

You may not engage in any of the below listed marketing activities. Further, you represent, agree and warrant that your marketing practices do not and will not violate any of these restrictions and/or marketing activities:

1. You shall not make any false, misleading, or unfavourable statements with respect to the Program, Rebel Tech, its directors, its employees, its customers, or its other affiliates;
2. You shall not engage in any marketing activity that may harm the reputation or credibility of the Program, Rebel Tech, its directors, its employees, its customers, or its other affiliates, including using low-quality marketing materials, or advertising on any website that promotes violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, or any illegal activities, or violates the intellectual property or other rights of a Third-Party;
3. You shall not engage in any form of spamming, including, but not limited to, email spamming, forum spamming, unsolicited commercial emailing or telephonic spamming, including cold calling and bulk SMS delivery mechanisms;
4. You shall not offer cashback, coupons, rewards or other incentives as part of your marketing efforts;
5. You shall not use traffic that is generated by, including, but not limited to, pay to click, pay to read, banner exchanges, click exchanges, cost-per-view advertising, pop-up, pop-under, spam, purchased traffic, or similar methods without prior written consent from Rebel Tech. Your link must send the visitor to the Rebel Tech website;
6. You shall not bid on or use Rebel Tech's trademarks or misspelt keywords for the purpose of pay-per-click on internet search engines without prior written consent from Rebel Tech;
7. You shall not use cookie stuffing techniques;
8. You shall not use redirected pages, links, or domain forwarding to send a potential customer to Rebel Tech’s website;
9. You shall not engage in any marketing or promotional activities that violate applicable laws, rules, or regulations in the Republic of South Africa, or any other country; or
10. You shall not perform any other prohibited activities specified and/or breach any of the terms and conditions in our Website Terms and Conditions of all other agreements and policies, all of which are available on our website.

All forms of direct/indirect advertising must comply with the Protection of Personal Information Act 4 of 2013 (POPIA).

Termination

We may terminate your use and participation in the Program at any time, without warning, in our sole discretion.

In the event that we should terminate your use and participation in the Program, through no fault of your own, Rebel Tech will pay-out your commission balance.

You may terminate your use and participation in the Program at any time. By terminating your participation, you waiver your right to be paid any unpaid commissions and waiver your rights and ownership to any future commissions.

Your use and participation may be suspended or terminated should you breach any or all parts of these Terms and/or our Terms and Conditions or engage in any conduct that Rebel Tech deems to be illegal, improper, unfair, or otherwise adverse or detrimental to Rebel Tech.

Rebel Tech reserves the right to not pay the accrued balance if you have been deemed to have breached these Terms and/or our Terms and Conditions or engage in any conduct that Rebel Tech deems to be illegal, improper, unfair, or otherwise adverse or detrimental to Rebel Tech.

We reserve the right to terminate your use and participation in the Program if your account has been inactive for a period of six (6) months in a twelve (12) month cycle.

In the event of Force Majeure, neither party will be responsible for failure or delay of performance if caused by:

1. war, hostilities (whether war be declared or not), invasion, act of foreign enemies, mobilisation, requisition, or embargo;
2. act of God (such as, but not limited to, fires, explosions, earthquakes, drought, tidal waves and floods);
3. electrical, internet, or telecommunication outage that is not caused by the obligated party;
4. government restrictions; or
5. other event outside the reasonable control of the obligated party.

Each party will use reasonable efforts to mitigate the effect of a Force Majeure event.

Relationship Between You and Rebel Tech

Your use and participation in this Program does not create any employment, independent contractor, agency, partnership, or joint venture relationship between you and Rebel Tech.

Assumption of Risk

It is your sole responsibility to ensure that your use and participation in this Program does not violate the rights of any Third-Party.

You shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

Indemnification

You agree to defend, unconditionally and irrevocably indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, costs or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:

1. your participation in this Program;
2. our use of the prospect data you provided us; or
3. your non-compliance with or breach of these Terms and/or the terms and conditions of any other applicable agreements and/or policies.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Confidentiality

All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of these Terms which is marked "Confidential," will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without the express written permission of the disclosing party.
